Terms and Conditions
The key legal terms for using ZekiHR as your operating system for talent agencies.
By accessing or using ZekiHR (the "Platform"), you agree to these Terms and Conditions. If you are using ZekiHR on behalf of an agency, company, or other organization, you confirm that you are authorized to accept these terms on their behalf.
1. Use of service
- You must be at least 18 years old and legally capable of entering into contracts.
- If you are using ZekiHR on behalf of an agency or company, you must be authorized to act on its behalf.
- You are responsible for all content, data, and activity that occurs under your account.
- You agree to use the Platform only for lawful recruiting, HR, and employment workflows.
2. Subscription and payment
- Platform fees are charged according to your selected pricing plan or agreement.
- Fees may include a platform fee plus revenue-linked components, as agreed.
- Invoices are typically billed monthly or as defined during onboarding.
- Standard payment terms are net 30 days from the invoice date unless otherwise agreed.
- Late payments may incur interest of up to 1.5% per month on overdue amounts, or the maximum allowed by law.
3. Agency responsibilities
- Maintain accurate company information, KYC details, and any regulatory registrations required for your operations.
- Ensure that your use of the Platform complies with applicable employment, data protection, and labor laws in the regions where you operate.
- Obtain any necessary consents from candidates, clients, or employees whose data you store in ZekiHR.
4. Platform availability
- ZekiHR aims for high availability (including targets such as 99.9% uptime), but uninterrupted access is not guaranteed.
- Planned maintenance, updates, and unexpected outages may affect availability. We will make reasonable efforts to communicate material disruptions.
5. Intellectual property
- All intellectual property in the ZekiHR Platform, including software, design, branding, and documentation, remains the property of ZekiHR or its licensors.
- You receive a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes, subject to these Terms.
- You may not copy, modify, reverse engineer, or redistribute the Platform or any part of it except where permitted by law or with our written consent.
6. Termination
- You may stop using the Platform at any time. Certain commitments (such as minimum terms or notice periods) may apply based on your plan or agreement.
- We may suspend or terminate your access if you materially breach these Terms, misuse the Platform, or engage in unlawful activity.
- Following termination, account data is typically retained for up to 90 days, after which it may be permanently deleted, subject to legal or regulatory retention requirements.
- You are responsible for exporting any data you wish to keep within 60 days of termination, where export features are available.
7. Limitation of liability
- ZekiHR is not liable for indirect, incidental, consequential, or special damages, including lost profits, loss of business, or loss of data, even if advised of the possibility of such damages.
- To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Platform is limited to the fees you paid to ZekiHR in the twelve (12) months preceding the event giving rise to the claim.
8. Force majeure
- We are not responsible for delays or failures in performance caused by events beyond our reasonable control.
- These events may include natural disasters, internet or telecommunication failures, government actions, pandemics, strikes, or other force majeure events.
9. Dispute resolution
- Before initiating formal proceedings, both parties will attempt in good faith to resolve disputes through discussion within thirty (30) days.
- If the dispute is not resolved, the parties may agree to mediation or other alternative dispute resolution mechanisms.
- Subject to applicable law, the courts of Kolkata, India, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, and the governing language will be English.
10. Governing law
- These Terms and any disputes arising out of or relating to them are governed by the laws of India, without regard to conflict of law principles.
11. Changes to these terms
- We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page.
- Material changes will be communicated through the Platform or by email where practical. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
